These Terms of Service ("Terms") govern your access to and use of the Rhythmic church management platform and related websites and services (the "Services"), provided by Rhythmic ([Legal Entity Name], "Rhythmic," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

1. The Services

Rhythmic provides software that helps churches and similar organizations manage members, events, scheduling, applications, communications, and payments. We may update, improve, or change the Services over time.

2. Accounts and eligibility

You must provide accurate information when creating an account and keep it up to date. You are responsible for safeguarding your login credentials and for all activity under your account. You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. Notify us promptly of any unauthorized use.

3. Customer data and your responsibilities

"Customer Data" means the information you and your members put into the Services. As between you and Rhythmic, you own your Customer Data and are the controller of it. You are responsible for the accuracy and legality of Customer Data and for having all rights, consents, and permissions needed to provide it to us and to use the Services, including any consents required to manage information about minors. You grant Rhythmic the limited rights to host, process, and transmit Customer Data as needed to provide the Services. Our handling of personal information is described in our Privacy Policy.

4. Acceptable use

You agree not to:

  • Use the Services to violate any law or the rights of others.
  • Upload malware or attempt to disrupt, probe, or gain unauthorized access to the Services.
  • Reverse engineer or copy the Services except as permitted by law.
  • Use the Services to send unlawful, harassing, or deceptive communications.
  • Access another organization's data without authorization.

5. Payments and fees

Fees for the Services are as agreed between you and Rhythmic. Where the Services are used to pay your members (such as contractors or volunteers), payments and payouts are processed by our third-party payment processor, and your use of those features is also subject to the processor's terms. You are responsible for the accuracy of payment instructions and for any taxes associated with payments you make or receive through the Services, including providing required tax information. Except as required by law, fees are non-refundable.

6. Third-party services

The Services may integrate with third-party products (such as Google, Planning Center, and Slack). Your use of those products is governed by their own terms and privacy policies. Rhythmic is not responsible for third-party services, and connecting them is at your discretion.

7. Intellectual property

Rhythmic and its licensors own all rights in the Services, including software, design, and trademarks. These Terms do not grant you any rights in the Services except the limited right to use them in accordance with these Terms. We welcome feedback and may use it without obligation to you.

8. Confidentiality

Each party may have access to the other's non-public information. Each party agrees to protect the other's confidential information and to use it only as needed to perform under these Terms.

9. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

10. Limitation of liability

To the maximum extent permitted by law, Rhythmic will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability arising out of or relating to the Services will not exceed the amounts you paid us for the Services in the twelve months before the event giving rise to the liability.

11. Indemnification

You agree to indemnify and hold Rhythmic harmless from claims, damages, and expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Services, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms or if necessary to protect the Services or other users. On termination, your right to use the Services ends, and we will make Customer Data available for export for a reasonable period before deletion, except where retention is required by law.

13. Governing law

These Terms are governed by the laws of [State/Country], without regard to conflict-of-laws rules. The courts located in [State/Country] will have exclusive jurisdiction over disputes arising out of these Terms, except where prohibited by applicable law.

14. Changes to these Terms
